1. Company Overview

Oscend is a digital advertising agency that provides personalized services in media that may include but not limited to digital strategy, performance campaigns, PPC, funnel optimization, content marketing, paid media management, and marketplace services. These Terms and Conditions describe the rules and duties about the usage of our services or about a visit of our site.

2. Service Scope

These engagements in services will be clearly defined with the help of proposals, contract, or written documents. Services offered by Oscend are:

• Strategies and planning in media
• Paid search (Google Ads, Bing Ads)
• Paid social (Meta, Tik Tok, LinkedIn etc)
• Performance marketing Convertible ads (PPC, conversion-centered campaigns)
• Marketplace optimization
• The creation of content and implementation of the campaigns
• Remarketing and Funnel strategy
• Along with this, we have the right to change or abolish any service at any time.

3. Pricing and payment Terms

There is a pricing of all the services which are agreed upon in the project scope.

• The terms of payment require advance or a milestone-based payment.
• Delayed payments are likely to lead to stalling projects or extra administrative costs.
• Expenditure on advertising and such (media spend, i.e., ad budgets) is billed unless noted otherwise.
• Non-payment of fees does not exempt us to withhold deliverables or provision of access

4. Client Responsibilities

The client to facilitate the smooth delivery of the project shall pay:

• Feedback, approvals and access to the right platforms should be timely
• Provide correct data and brand resources
• mimic the negotiated communication and review schedules

Oscend will not be liable in case of delay due to non-communication, slow approvals, and incorrect input.

5. Intellectual Property Rights

Other than otherwise:

• Oscend owns all the content, creative assets, tactics and media plans that are produced.
• Depending on the extent of the work, delivery projects also allow clients to receive limited rights of use of their final deliverables.
• It is interdicted to use Oscend owned material by reuse, resale or reproduce it without consent.

6. Confidentiality

Both Oscend and the client will ensure that all the common materials, tactics, and communication are kept as part of confidentiality. Without express authorization (except as tropically demanded), we do not reveal or share sensitive information to any third party in any manner whatsoever.

7. Warranties and Guarantees

While Oscend strives to deliver high-quality results and meet KPIs, we do not guarantee specific outcomes such as exact lead volumes, ranking positions, or revenue increases due to the dynamic nature of digital platforms.

8. Limitation of Liability

Oscend will not be held liable for:

• Platform changes or outages (e.g., Google algorithm updates, Meta ad policy changes)
  
  
• Third-party service failures
  
  
• Business loss, revenue drop, or indirect damages arising from marketing efforts

Clients are responsible for reviewing and accepting any third-party advertising or platform terms used in the campaign.

9. Termination of Services

Either party may terminate a contract with a written 15-day notice. Upon termination:

• All unpaid dues must be cleared
  
  
• Work completed until the termination date will be delivered
  
  
• Any advance payment is non-refundable unless otherwise agreed

Oscend may immediately terminate services if misuse, unethical behavior, or breach of terms is identified.

10. Governing Law

These Terms shall be governed in accordance with the laws of the Islamic Republic of Pakistan. Any disputes will be handled under the jurisdiction of the courts in Karachi, Pakistan.
